Terms of Release & License
Welcome to AdBridge!
Thank you for your interest in leveraging our monetization solutions! The purpose of these Terms of Service (“Terms”) is for rights holders (“Rights Holder”) to grant AdBridge, Inc. (“AdBridge”) the necessary rights to use the content producer's (“Content Producer”) voice, image, and other identifiable attributes to create advertising content. This advertising content will be used to monetize Content Producer's content exclusively, which is currently managed through a separate agreement between AdBridge and the Content Producer's affiliated podcast network (the “Network”).
2. Grant of License
Rights Holder hereby grants to AdBridge a worldwide, royalty-free, and sublicensable (solely to AdBridge's contractors, service providers, and clients as necessary to fulfill the purposes of these Terms) and transferable (solely in connection with a merger, acquisition, or sale of AdBridge's assets) license to use, reproduce, modify, and publicly perform and display Content Producer's "Personal Information" (meaning your voice, name, image, or likeness).
This license specifically includes the right to use Content Producer's existing content (referred to as "Inputs") as training data to generate, reproduce, and distribute advertising or promotional content using synthetic or AI-generated voices and/or likenesses that imitate, replicate, or otherwise emulate the Content Producer's voice (collectively, "The Output").
Rights Holder understands and agrees that "The Output" shall be used by AdBridge exclusively for the purpose of monetizing Content Producer's own content (as provided to and managed by the Network). AdBridge will not use "The Output" to monetize content originating from any other content creators or third-party inventory.
Subject to your compliance with our Terms, AdBridge assigns to Rights Holder all of our right, title, and interest in Outputs. The underlying "Inputs" remains the property of Rights Holder.
Rights Holder acknowledges that the license granted AdBridge is exclusive as it pertains to the purpose of the Content Producer's content monetization utilizing synthetic or AI-generated voices and/or likenesses that imitate, replicate, or otherwise emulate the Content Producer's voice.
3. Content Producer Representations and Warranties
Rights Holder represents and warrants that he, she or the organization maintains the full right, power, and authority to grant the license set forth in Section 1 and that such grant does not violate any other agreement to which they are a party.
Rights Holder represents and warrants that all content made available to AdBridge for monetization does not violate any applicable laws, regulations, or third-party rights, including intellectual property, privacy, or publicity rights.
4. Data Protection and Privacy
AdBridge shall process Personal Information only as necessary to fulfill the purposes of this Agreement, as explicitly authorized by Rights Holder and in accordance with applicable laws.
Deletion of The Output and original Input (e.g., content for training data) can be requested, except as required by law to retain, upon termination of these Terms.
5. Relationship with Content Producer
Content Producer acknowledges that the specific terms of monetization (which include but are not limited to payment terms) are governed by a separate agreement between AdBridge and the Network. AdBridge's obligations regarding these operational and financial aspects are solely to the Network.
6. General Provisions
Governing Law
These Terms shall be governed by and construed under the laws of the State of Delaware, without regard to conflict of law principles.
Entire Agreement
These Terms constitute the entire agreement between Content Producer and AdBridge regarding the licensing of Content Producer's Personal Information as described herein, and supersedes all prior discussions or agreements on this specific subject.
No Assignment
Rights Holder may not assign these Terms or any rights or obligations hereunder without AdBridge's prior written consent.
